Terms of Service
These Terms of Service ("Terms") govern your access to and use of Tokenistt's software, APIs, and services provided by Tokenistt Labs, Inc. ("Tokenistt", "we", "us"). By installing the Tokenistt MCP server, using our VS Code extension, or accessing our dashboard, you agree to these Terms.
1. The Service
Tokenistt provides an AI infrastructure intelligence platform that operates as a local MCP proxy. The service analyzes LLM request metadata (token counts, costs, cache status) and surfaces this data through a cloud dashboard. Tokenistt does not transmit, store, or process your prompt content, source code, or any LLM inputs/outputs on its servers.
2. Accounts and access
- –You must be 18 or older to create an account
- –You are responsible for all activity under your account credentials
- –You may not share account credentials across organizations without an Enterprise plan
- –Team workspace members may access aggregate usage data for the workspace
- –You must notify us immediately of any unauthorized account access
3. Acceptable use
You may not use Tokenistt to:
- –Circumvent rate limits or billing controls on third-party LLM APIs
- –Resell or white-label the Tokenistt service without a written reseller agreement
- –Attempt to reverse-engineer, extract, or reconstruct prompt content from analytics metadata
- –Introduce malicious code into the MCP server pipeline
- –Use the optimization engine to degrade output quality intentionally
4. Subscription and billing
Annual billing is non-refundable except in cases of service failure as defined in our SLA. Monthly billing is cancellable anytime with no penalty.
5. Intellectual property
Tokenistt owns all rights to the Tokenistt software, optimization engine, and dashboard. Your prompt content, source code, and any intellectual property that passes through the local MCP proxy is exclusively yours — we make no claim to it and do not retain it.
Performance metadata derived from your usage (anonymized token counts, spend patterns) may be used in aggregate, non-attributable form to improve Tokenistt's optimization models.
6. Service availability
We target 99.9% uptime for the cloud dashboard and analytics pipeline. The local MCP server continues to function (intercepting and logging locally) even when our cloud backend is unreachable — your development workflow is never blocked by Tokenistt's availability.
7. Limitation of liability
Tokenistt's liability for any claim arising from these Terms is limited to the amount you paid us in the 12 months preceding the claim. We are not liable for indirect, incidental, or consequential damages including lost LLM spend, missed SLAs with your customers, or data loss resulting from third-party LLM provider failures.
8. Termination
Either party may terminate these Terms at any time. Upon termination, your access to the cloud dashboard ends. The local MCP server may continue to run but will stop transmitting metadata. All your stored metadata will be purged within 30 days of termination.
